Loyalty activations terms and conditions
VF International SAGL whose registered office is in Via Laveggio 5- 6855 Stabio, Switzerland - VAT CHE-111.650.898 (hereinafter referred to as the "Promotion Company"), in co-ordination with VF NORTHERN Europe Limited, whose company registration number is SC047368 and registered office is at C/O Brodies LLP Capital Square, 58 Morrison Street, Edinburgh, EH3 8BP is organizing a prize draw called “Climb Fest London – XPLR Pass VIP Package” (the "Prize Draw").
Entry into the Prize Draw is free (except for the costs related to the Internet connection, wireless Internet access and/or other connection fees for the registration to the Prize Draw) and no purchase is necessary.
Promotion period
The Prize Draw runs from 03/06/2024 at 08:00 (CEST) to 16/06/2024 at 23:59 (CEST) (the "Promotion Period").
The Promotion Company’s computer is the official clock for the Prize Draw.
Eligibility
Entry into this Prize Draw is open only to legal residents in UK, who are at least eighteen (18) years of age, registered in the "XPLR Pass" loyalty programme (hereinafter “Participant/s”).
Entrants can register for the loyalty programme free of charge at https://www.thenorthface.co.uk/
How to enter the Prize Draw
During the Promotional Period, in order to enter this Prize Draw, Participants must send an email to xplr_pass@vfc.com providing the required personal data (name, surname, mobile phone and the prize draw they want to enter “Climb Fest London – XPLR Pass VIP Package”).
Having completed the registration process Participants will receive one (1) entry into the Prize Draw.
Participants bear the sole responsibility for the correctness and completeness of any data provided.
Please note that proof of transmission of an entry form does not constitute receipt of the same or proof of entry.
By entering the Prize Draw, Participants will be deemed to have agreed to be bound by these Prize Draw Rules.
Participants may enter the Prize Draw only once (1) during the Promotional Period.
All Participants must have Internet access to enter the Prize Draw.
Prize
There will be hundred (100) Prizes awarded as part of Prizes of the Prize Draw, as detailed in the section named “The method for awarding prizes” below.
The Prize consists of a VIP package for the Climb Fest in London (from 12/07/2024 to 13/07/2024) that includes:
The prize does not include travel between the selected winner’s home and London, hotel accommodation, personal expenditure or any additional costs, other than where explicitly mentioned in these Prize Draw Rules.
The selected winners must be able to travel on the date designated by the Promotion Company or the prize will be forfeited and may be awarded to an alternate winner.
The Promotion Company is not responsible if the Climb Fest in London is delayed, postponed or cancelled due to events outside of its reasonable control, in which case an appropriate substitute prize will be awarded by the Promotion Company in its sole discretion.
In the event that on the date of the Climb Fest in London, the winner fails to attend, the Prize shall be considered as having been entirely awarded and no further Prize shall be due.
If the winner chooses not to accept the Prize, for whatsoever reason, the winner shall not be entitled to any substitute prize and is not entitled to claim any refund and/or compensation against the Promotion Company.
The winner is not entitled to transfer and/or assign the Prize to any other person, and no cash or other alternative arrangements will be offered.
The approximate retail value of each Prize is 150£
The Approximate Retail Value (“ARV”) of any Prize listed is subject to price fluctuations in the consumer marketplace based on, among other things, any gap in time between the date the ARV is estimated for purposes of these Prize Draw Rules, and the date the Prize is awarded or redeemed. If the actual purchase price of the Prize is less than the ARV stated herein, the Prize winner will not be entitled to a cheque, cash or other form of payment for the price difference. The Prizes are not transferable to any other person, and no cash or other alternative arrangements will be offered.
Restrictions
Employees, officers, directors of the Promotion Company and its parent company, and their immediate families, their agents and other people involved in the organisation and management of the Prize Draw may not enter the Prize Draw.
On the date of the random draw, Participants must be regularly registered in the “XPLR Pass” loyalty programme. If a Participant has cancelled their registration in the loyalty programme, they will not be entitled to participate in the award procedure, and if they win the prize shall not be awarded
The registration data entered by the Participant on the dedicated prize draw website must match the information used to create their XPLR Pass loyalty programme account.
Each Participant / email address can only enter the Prize Draw once (1).
Each Participant/ email address shall not be awarded more than one (1) prize.
The method for awarding prizes:
On or about 17/06/2024 the Promotion Company will select hundred (100) winners at random from all valid entries received during the Promotional Period.The Promotion Company will also determine hundred (100) runners-up at random after the winner is selected.
A runner-up shall only be used if a winner fails to claim their prize in accordance with these Prize Draw Rules or is disqualified from the Prize Draw for any reason.
The selection of the winner and runners-up is final and no correspondence will be entered into.
In the event of not enough Entrants to award all prizes, the Promotion Company reserves its right not to award such prizes.
Notification to the winner
The winner will be notified within two (2) days of Prize Draw ending by an email sent to the email address they provided on the entry form of their XPLR Pass loyalty account.
Winner will have two (2) days from being notified of their win to reply to the notification email accepting the prize and providing all the information requested by the Promotion Company.
If a potential winner cannot be contacted within two (2) calendar days after being first notified of their win, fails to provide the information requested, if the prize is rejected by the winner or the prize notification is returned as undeliverable, or in the event of noncompliance with these Prize Draw Rules and requirements, the winner will have forfeited such prize and it will be awarded to a runner-up.
The first runner-up with will be contacted in the same manner as described above and, if necessary, the process repeated until the prize is finally awarded to a runner-up.
In the event that having followed the awarding process described above, the Prize cannot be given to a winner or a runner-up, the Promotion Company reserves its right not to award said Prize.
The Promotion Company reserves the right to require winner to provide a valid form of identification proving their age and identity before receiving their Prize. Any identity verification document produced must be in the name of the person who has entered the Prize Draw.
If the Prize is forfeited no compensation will be provided.
The Promotion Company shall not be liable to any winner with whom contact and/or delivery cannot be made due to: (i) incorrect or incomplete details having been provided at registration of XPLR Pass loyalty programme; or (ii) the winner's mailbox being full, blacklisted or no longer active; or (iii) the notification email being deemed to be spam and thus not reaching the winner's email account or being directed into the junk folder of the winner's email account; or iv) the notification email not received for any other reason; or v) lack of reply from the winner.
Personal Data:
The processing of any personal data of Entrants, as necessary to enable the participation to the Prize Draw, will be carried out by the Promotion Company, in its capacity as Data Controller. Furthermore, upon prior express consent from the relevant Entrant, personal data may be processed also for profile-based marketing purposes by Promotion Company’s affiliate entity VF International Sagl, with registered offices in 5, Via Laveggio, 6855, Stabio, Switzerland, in its capacity as Data Controller.
Consent to the processing for profile-based marketing activities is optional, and a denial will not negatively affect participation to the Prize Draw.
Personal data will be processed in compliance with the current laws and regulations applicable to the processing of personal data, including the EU General Data Protection Regulation N. 679/2016 (GDPR) and retained for the time necessary to fulfil the data processing purposes herein described, except when longer or shorter retention periods are provided for by law.

General:
The Promotion Company reserves the right, in its sole discretion, to cancel, terminate, modify, extend or suspend this Prize Draw or these Prize Draw Rules should (in its sole discretion) virus, bugs, non-authorized human intervention, fraud or other causes beyond its reasonable control corrupt or affect the administration, security, fairness or proper conduct of the Prize Draw. In such case, the Promotion Company may select the winner from all eligible entries received prior to and/or after (if appropriate) the action taken by the Promotion Company.
Upon suspension or cancellation of the Prize Draw the Promotion Company cannot be held liable for any expenses incurred or damages suffered, whether direct, indirect, consequential or inconsequential, and the Promotion Company shall not be obliged to organize any alternative Prize Draw or offer any alternative prize.
Multiple registrations are forbidden. Any attempt by a Participant to obtain more than the stated number of entries by using multiple/different e-mail addresses, identities and registrations, or any other methods may result in the exclusion of the Entrant from this Prize Draw.
The Promotion Company may prohibit a Participant from participating in the Prize Draw or winning a prize if, in its sole discretion, it determines that said Participant is attempting to undermine the legitimate operation of the Prize Draw by cheating, hacking, deception, or other unfair playing practices (including the use of automated quick entry programs) or intending to annoy, abuse, threaten or harass any other Participants or Promotion Company representatives.
The Promotion Company is not responsible for any technical problems or human errors that may result in an entry not being received or being lost or damaged or for any destruction or alteration of, or unauthorized access to, Prize Draw registrations and entries.
The Promotion Company reserves the right, at any time, to verify the validity of entries and Participants (including a Participant’s identity, age, etc.) and to disqualify any entry that is not in accordance with these Prize Draw Rules.
Save where the Promotion Company has been negligent or in relation to the Promotion Company's fraud and to the extent permitted by law, the Promotion Company shall in no way be liable for any injuries, losses, damages or expenses suffered or incurred by any winner of the Prize Draw, as a direct or indirect result of participating in this Prize Draw and/or accepting a prize.
The full costs of participation in the Prize Draw are entirely at the expense of the Entrant. In no case can the Entrant recover the cost of his or her participation from the Promotion Company.
Acceptance of these Prize Draw Rules is a condition of entry into the Prize Draw and entry indicates full acceptance of these Rules.
The prizes quoted are subject to availability and, in the event of unforeseen circumstances, or circumstances outside of the Promotion Company's reasonable control, the Promotion Company reserves the right to amend, withdraw or substitute any part of this Prize Draw and/or prize for an alternative arrangement of equal or greater value.
The Prizes are not transferable, and no cash or other alternative arrangements will be offered.
Failure by the Promotion Company to enforce any of its rights at any stage does not constitute a waiver of those rights.
If any term of these Prize Draw Rules shall be found to be void or contrary to law, such term shall be deemed to be severable from the other terms and provisions herein, and the remainder of the rules shall remain in effect.
These rules shall be governed by English law and the courts of England and Wales shall have non-exclusive jurisdiction.

Entry into this Promotion is open only to the UK residents who are at least eighteen (18) years of age, members of The North Face’s XPLR Pass loyalty programme and purchase at least £ 150 online from https://www.thenorthface.com / or in one of the participating stores (list available in the Annex A) during the Promotion Period (the “Participant/s”).
How to enter the free gift promotion
During the Promotional Period each Participant who, in a single transaction, purchases at least £ 150 in any of the participating TNF Stores or online from https://www.thenorthface.com shall be entitled to one (1) Free Gift.
If the Participant qualifies for a Free Gift having completed their transaction: (i) in a TNF Store, the Free Gift will be given to the customer by the cashier who processed the transaction; or (ii) online from https://www.thenorthface.com, the Free Gift will be sent to the customer, free of charge, with the products purchased in the transaction.
In order to receive the Free Gift:
The offer in the Promotion is limited to one (1) Free Gift per transaction.
Employees, officers, directors of the Promotion Company and its parent company, may not enter in this free gift promotion.
In the event a Participant returns product(s) such that their original purchase no longer qualifies for the Free Gift, and the Free Gift is not returned to the Promoter, the Promoter reserves the right to deduct the value of the Free Gift from the refund owed to the customer.
Free gift
For online purchases, the Free Gift is a TNF RUN HAT which has an approximate retail value of £ 15 (the "Free Gift").
For in-store purchases, the Free Gift is a TNF HORIZON HAT which has an approximate retail value of £ 24 (the "Free Gift").
The free gift cannot be redeemed or exchanged for cash.
The Free Gift is not transferable to any other person, and no cash or other alternative arrangements will be offered.
Personal Data:
The processing of any personal data of Entrants, as necessary to enable the participation to the Promotion, will be carried out by the Promotion Company, in its capacity as Data Controller. Entry into the Contest is free and no purchase is necessary.
About the Contest:
The concept of the Contest is for Entrants to send a photograph that shows themselves surrounded by elements of nature (hereinafter “Submission”).
Promotional Periods
The Contest runs from 15/04/2024 at 11:00 (CEST) to 15/05/2024 at 17:00 (CEST) ("Promotional Period").
Eligibility
Entry into this Contest is open only to legal residents of the UK, who are at least eighteen (18) years of age, registered in the "XPLR Pass" loyalty programme (hereinafter “Participant/s”).

How to enter the Contest:
From 15/04/2024 to 15/05/2024, to participate in the contest, Entrants must log into https://www.thenorthface.co.uk/ with their XPLR Pass loyalty credentials, access the page dedicated to the contest in their XPLR Pass account and upload their Submission related to the "Contest theme".
In case of technical problem can enter the Prize Draw by sending the photo via email to the following email address: xplr_pass@vfc.com
Each Submission must comply with the requirements set out in the section named “Submission requirements” below and be in the form of a photo.
Each compliant Submission approved by the Promotion Company will be considered an entry into the Contest (“Entry”).
All Entrants will be able to take part in the Contest by sending one (1) Submission during the Promotional Period.
All Entrants must have internet access to enter the Contest.
Entrants are not permitted to enter the same Submission more than once during the Contest.
Duplicate Submissions will be subject to disqualification, as determined by the Promotion Company in its sole and absolute discretion.
Restrictions:
Entrants may upload one (1) Submission (photo) during the Promotional Period.
No Entrant may win more than one (1) prize.
Entrants not resident in the UK will not be allowed to enter this Contest.
Employees of the Promotion Company, employees of all controlled, affiliated or controlling companies of the Promotion Company, and other people involved in the organisation and management of the Contest may not enter the Contest, but may enrol in the XPRL Pass loyalty programme.
Submission requirements
A Submission must meet the following requirements to allow entry into the Contest:
Moderating:
Every uploaded Submission will be moderated. The Promotion Company reserves its right to reject or disqualify any Submission, in its sole discretion, it determines not to be in compliance with these Contest Rules or is potentially damaging to either the Promotion Company, the Contest's, or any other third party's image or reputation. The Promotion Company reserves its right to refuse entry to Submissions in each case which:
a. are defamatory, obscene, offensive, vulgar, slanderous, racist, > dangerous, discriminatory and/or are or out of keeping with the > spirit of Contest in the Promotion Company's sole opinion;
b. are designed to promote or publicise any brand, product, service or > business activity other than that of the Promotional Company > and/or which is unrelated to the Contest;
c. contain content which has been copied from other sources;
d. contain content which the Promotion Company reasonably believes to > be factually inaccurate;
e. contain content which the Promotion Company reasonably believes > could promote or encourage dangerous.;
f. contain content not related to the Contest theme;
g. contain content which breaches the laws of England and Wales;
h. contain viruses, Trojan horses, worms, time bombs or other computer > programs designed to damage, cause harmful interference, > surreptitiously intercept or steal any system data.
Only if the Submission is judged suitable by the Promotion Company's moderators, shall it be deemed to be an Entry into the Contest.
Entrant liability with regard to their Submission:
By entering the Contest, Entrants accept these Contest Rules in their entirety and declare that:
a. they are the owner of all copyright and intellectual property rights in the Submission and that the Submission has not been copied or reproduced from any source or third parties;
b. they are the subject shown in the Submission and the Submission is the result of their own experience, special moment or adventure enjoyed by the Entrant outdoors;
c. the Submission is original and has not been published previously or entered into other competitions or contests;
d. the Submission does not contain material that is unlawful, in violation of or contrary to the laws or regulations of England and Wales or of any jurisdiction where Submission is created;
e. no persons below the age of 18 appears in the Submission;
f. the Submission is not a reproduction and does not infringe upon any intellectual property rights, moral rights, copyrights, third party personal data protection rights, publication rights and in general terms that the Submission respects the provisions of law in regard to copyrights and any other regulations or laws in force;
g. they hereby grant to the Promotion Company a non-exclusive, royalty free, revocable, licence to use, adapt, publish, modify, distribute, reproduce and display the Submission in whole or in part, on a worldwide basis, in perpetuity, and to incorporate it into other works, in any form, media or technology now known or later developed, including, but not limited to, on any and all Internet media, including in the Promotion Company’s website or related websites and other social networking platforms (i.e., Facebook, Twitter, YouTube, Instagram, TikTok Pinterest etc.), for any purpose whatsoever, including for promotional, advertising or marketing purposes (except where prohibited by law), until such time as the Entrant chooses to revoke such rights;
h. they are wholly liable for the Submission uploaded and will consequently indemnify the Promotion Company against any liability it incurs as a result of the Submission failing to comply with the conditions set out in these Contest Rules;
i. the Submission complies with the requirements set out in these Contest Rules and the section named “Submission requirements”;
l. the following does not appear: other products from competing brands > or phrases or objects which are irrelevant to the Contest;
m. the Submission does not contain material that is inappropriate, > indecent, dangerous, obscene, hateful, tortious, defamatory, > slanderous, libellous, promotes bigotry, racism, hatred or harm > against any group or individual, including to themselves, or > promotes discrimination based on race, gender, religion, > nationality, disability, sexual orientation or age; and
n. they agree to take part in any reasonable publicity required by the > Promotion Company should they win one of the Contest prizes.
Each Entrant accepts that breach of any of the conditions of these Contest Rules shall entitle the Promotion Company to immediately remove the Entrant and/or his/her Submission from the Contest without prejudice to any other rights and/or remedies of the Promotion Company.
Prizes
There will be two (2) prizes awarded as part of the Contest as detailed in the section named “The method for awarding prizes” below.
The prize consists of a TNF Duffel Bag (Duffel S) and a TNF Jacket (hereinafter “The Prize”).

The method for awarding prizes
On or about 31/05/2024 a diverse and independent panel of judges, selected by the Promotion Company, (“Judging Panel”) will evaluate all valid Submissions correctly submitted in accordance with these Contest Rules.
Submissions will be judged based on the following equally-weighted judging criteria (“Judging Criteria”): relevance to the topic, affinity to The North Face values and originality.
Submissions will be judged based on the following equally-weighted judging criteria (“Judging Criteria”): relevance to the topic, originality, creativity and aesthetics.
The first two (2) Submissions with the highest score based on the Judging Criteria will be deemed to be the winner of the Contest.
The Judging Panel will also determine ten (10) runners-up in order of preference according to the Judging Criteria. A runner-up shall only be used if the winner fails to claim his prize in accordance with these Contest Rules, has already won a prize or is disqualified from the Contest for any reason.
The decision of the Judging Panel is final and binding with respect to all matters relating to the Contest.
In the event of not enough Entrants to award all prizes, the Promotion Company reserves its right not to award such prizes.
Notification to the winners
Winners will be notified of their win by an email sent to the email address provided during registration within five (5) working days from the selections of winners.
Winners will have five (5) days from being notified to reply to the notification of win accepting the prize and providing all the information requested by the Promotion Company.
If any potential winner within five (5) days of first notification attempt cannot be contacted, fails to provide the information requested, if any Prize or notification of win is returned as undeliverable, if the potential winner rejects his Prize, or in the event of noncompliance with these Contest Rules and requirements, such prize will be forfeited and may be awarded to a runner-up.
The first runner-up with the highest score will be contacted in the same manner as described above and, if necessary, the process repeated until the Prize is finally awarded to a runner-up. In the event that having followed the awarding process described above, a Prize cannot be given to a winner or runner-up, the Promotion Company reserves its right not to award said Prize.
Upon Prize forfeiture, no compensation will be given.

About this Prize Competition

Entrants must have the Strava GPS Cycling and Running App (“Strava App”) via free or subscription service. The type of service (free or subscription service) will not affect an Entrant’s ability to participate in the Prize Competition or their odds of winning.
The Challenge
The challenge (the “Challenge”) will be run through the Strava App, requiring the Entrants to run at least 15 minutes twice a week for a total of at least 8 runs to complete the Challenge in the Promotional Period (from 01/01/2024 to 28/01/2024) as required and recorded on the Strava App.
Before engaging in the Challenge, it is strongly recommended that you consult with your doctor or health care professional to confirm that you are in suitable physical condition to do so. In taking part in the Challenge, Entrants understand and agree that running carries an inherent risk of injury, or in the worst case, death. To the fullest extent permitted by law by taking part in the Challenge, Entrants understand and agree that neither Strava nor the Promotion Company will be liable for any injury sustained in the course of the Challenge. Any Entrants who have any doubts as to their ability to participate in the Challenge are advised not to take part.
How to enter the Prize Competition:
To enter the Prize Competition during the Promotional Period Entrants will have to:
Entrants must provide accurate and complete information when completing the registration form. Incomplete or incorrect information will not be considered and will render the relevant Entrant’s entry and participation null and void.
If an Entrant is discovered to have given incorrect information in relation to the Prize Competition or the Challenge, such Entrant will be immediately disqualified and/or removed from the Prize Competition. Strava will only provide a “REDEEM” button to an Entrant if the Strava App determines that the Entrant has completed the Challenge during the Promotional Period.
Strava's determination of the Entrant's completion of the relevant Challenge is final and binding in all respects.
